Terms & Conditions
The terms for using our website and the framework for agreeing consultancy and digital service projects.
1. About us and these terms
This website is operated by ABHIKA AURA LTD, company number 17186771. Our displayed location is Leeds, LS9 8FE. For questions, contact insights@abhikaaura.com or +44 7442 302822.
These terms explain website use and the service terms we may incorporate into a written project agreement. They do not create a paid service contract merely because you browse the website, request information or submit an enquiry.
Read these terms alongside our Privacy Policy, Cookie Policy and Refund & Cancellation Policy. Mandatory legal rights prevail over inconsistent wording.
2. Enquiries, quotations and contract formation
The website describes services available for discussion. A quotation or proposal states its scope, price or calculation method, validity period, assumptions and any applicable taxes. Estimates are identified as estimates.
A project contract is formed when both parties expressly accept the written proposal or statement of work and applicable terms. We provide a record of the agreement in a form you can retain. No automatic contract, charge or booking arises from clicking a website enquiry button.
A person accepting on behalf of a business must have authority to bind it. Whether you are a consumer depends on the purpose of the transaction, not simply on whether you enter a company name.
3. Scope, changes and delivery
The agreed scope identifies deliverables, inclusions, exclusions, dependencies, delivery arrangements and any support. Services may include IT advice, architecture, development, cloud work, cybersecurity assessments, workflow automation, CRM or ERP implementation, reporting or digital safety systems.
We perform services with reasonable care and skill and within the agreed timeframe, or a reasonable time where none was agreed. Binding statements relied on by a consumer retain their legal effect.
Changes to scope, additional fees or material timetable changes require agreement before the additional work is carried out. We explain effects on cost and delivery. The website aim of responding to an initial enquiry within 24 hours is not a round-the-clock support agreement.
4. Your responsibilities and system access
Provide accurate requirements, necessary content, timely decisions and access you are authorised to grant. Tell us about material restrictions, security requirements and dependencies. You must hold appropriate rights in materials and data you supply.
Access credentials must be shared through an agreed secure method, with appropriate permissions. Do not include passwords, payment card details or confidential production data in an initial website enquiry.
For work affecting live systems, we agree authorisation, access boundaries, backups, testing and deployment arrangements appropriate to the scope. Any client responsibility for backups must be expressly agreed and does not excuse our negligence. We discuss the effect of client-caused delays rather than applying unexplained charges.
5. Fees, invoices and third-party costs
Project prices, payment milestones and any deposits are agreed in writing. Applicable VAT, if chargeable, is identified; we do not represent that we are VAT-registered merely by mentioning VAT. Consumer quotations show the payable total or a clear method of calculation.
Unless expressly agreed otherwise, invoices are due within 14 days of issue. The invoice payment deadline is distinct from any consumer cancellation period. Raise a disputed invoice promptly with reasons so we can investigate.
Hosting, cloud usage, advertising spend, licences and subscriptions are included only where specified. Additional third-party charges need prior approval and their terms must be explained. We do not collect payment card details through this website.
For overdue business debts, statutory interest and recovery costs may apply where permitted by law. We do not automatically apply commercial late-payment rules to consumers.
6. Reviews, acceptance and support
We agree review and acceptance criteria in the project documents. Report scope discrepancies or defects with enough detail for us to investigate. An acceptance process does not waive statutory rights or liability for breach.
A business-only deemed-acceptance period applies only if expressly agreed in a suitable business contract. This website does not impose automatic five-day acceptance on consumers or on every business enquiry.
Maintenance, service levels, monitoring, updates and ongoing support are supplied only within the agreed engagement. Work outside that scope requires a separate agreement. Any support term does not limit remedies for defective original services.
7. Cancellation, refunds and ending a project
The Refund & Cancellation Policy explains consumer cooling-off rights, requested early starts, service corrections and refunds. We do not start a consumer service during a cooling-off period without the required request and information, or treat early commencement alone as a waiver.
Business notice periods and termination arrangements are agreed in the project contract. Either party may exercise termination rights available under that agreement or applicable law. Where a material breach can be corrected, reasonable notice and an opportunity to correct it are given when appropriate.
On termination, we reconcile fees, lawful commitments and unused advance payments, and agree the handover of deliverables, authorised access and client information. Any cancellation charges must be lawful and justified; no blanket charge for all projected future engineering hours is imposed by these website terms.
8. Intellectual property and licences
The website text, design and branding belong to us or are used with permission. You may view the site and keep reasonable copies for your own reference; you may not commercially reproduce our branding or pass our work off as your own without permission.
You retain rights in materials you provide and grant the limited permission necessary for us to deliver the agreed service. Ownership or licensing of bespoke deliverables, source code, documentation and reusable components is set out in the accepted project agreement before work begins; this page does not automatically transfer either party’s rights.
Third-party software, open-source components, stock assets and AI services remain subject to their applicable licences. Any use of client work in a portfolio requires permission where confidentiality or rights require it.
9. Confidentiality, data and specialist services
Each party protects confidential information received for a project and uses it for the agreed purpose, subject to lawful disclosure and information already lawfully public. Appropriate contractors or advisers may receive it only where necessary and under suitable obligations.
Where we process personal data for a client, the parties establish their respective roles and put appropriate data-processing terms in place before access. This website privacy notice is not a substitute for that agreement.
Digital Health & Safety services concern the implementation of digital systems. The underlying safety decisions and professional assessments must be made by appropriately competent people. A digital CRM or checklist does not itself certify workplace compliance.
Security testing requires written authorisation and defined boundaries. AI-assisted outputs require appropriate human review. No claim of guaranteed security, search ranking, revenue or complete regulatory compliance is made unless a specific, lawful commitment is expressly agreed. These statements do not reduce agreed deliverables or the duty of reasonable care and skill.
10. Acceptable website use and external links
Use the website lawfully. Do not send malware, impersonate others, attempt unauthorised access, interfere with availability or misuse contact facilities for spam or unlawful content. We may take proportionate steps to protect the site and report unlawful activity.
We aim to keep information accurate and the site available, but may make maintenance updates or correct errors. Website content is general information; the specific project agreement determines the services bought. This does not exclude responsibility for misleading statements or information binding under law.
External websites and your email or telephone applications have their own terms and privacy arrangements. We are not responsible for services outside our control, subject to any duties that cannot be excluded.
11. Liability and matters that cannot be excluded
Nothing excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.
For consumers, we remain responsible for loss and damage for which the law makes us liable, including reasonably foreseeable loss caused by our breach or failure to use reasonable care and skill. Statutory consumer protections remain unaffected.
For business clients, any agreed liability cap or excluded category of loss must be stated in the accepted business agreement and is subject to applicable law, including any required reasonableness test. No automatic six-month-fees cap is created by visiting this website. Neither party may recover the same loss twice.
12. Complaints, law and updates
Contact insights@abhikaaura.com with a complaint and relevant project details. We investigate and try to resolve concerns promptly. Where a consumer complaint remains unresolved, we supply applicable alternative dispute resolution information and explain whether we will participate where required; this does not prevent court action.
Agreements are governed by the law stated in the accepted project contract. Where English law is agreed, consumers retain mandatory protections and any right to bring proceedings in the courts of the part of the UK where they live.
Website terms may change for future use or future contracts. Updating this page does not retrospectively change an existing agreement without a lawful basis and any necessary agreement. If a provision is unenforceable, the remaining provisions continue where they can operate fairly and lawfully.
